Mr. Ngai specializes in banking and finance in which he represents clients including bank and non-bank participants in the lending market in the full range of their activities, including bilateral and syndicated loan transactions, project financing, secured and unsecured financing, acquisition and construction financing, bridge financing, etc.
Through advising licensed money lenders and securities margin financiers, Mr. Ngai has extensive experience in transactions related to financing business such as loan transactions under the Money Lenders Ordinance (Cap. 163) and securities margin financing transactions under the Securities and Futures Ordinance (Cap. 571).
Mr. Ngai also advises companies on general commercial / corporate matters and compliance and regulatory issues.
Mr. Ngai's recent deals include the following:
- Acted for a bank in relation to the provision of a secured term loan financing in the amount of HK$2.2 billion.
- Acted for a money lender in relation to the provision of a term loan financing in the amount of HK$1 billion.
- Acted for syndication of lenders in relation to a secured term loan facility in the amount of HK$1.6 billion.
- Acted for certain parties in connection with the issuance of the US$200 million credit-linked notes.
- Acted for a Hong Kong listed company in relation to the issuance of the HK$500 million notes.
